Terms of Engagement

The terms that govern our work together.

These Terms of Engagement apply to all consulting services provided by V.A. Wimmer Consulting, LLC, whether delivered to individuals, private businesses, public agencies, nonprofits, or community organizations. By engaging our services, you agree to the terms below. All intellectual property created, developed, or delivered by V.A. Wimmer Consulting, LLC — including but not limited to frameworks, curricula, guides, assessments, toolkits, written materials, and methodologies — remains the sole and exclusive property of V.A. Wimmer Consulting, LLC, Virginia A. Wimmer, MSW, and/or their authorized assigns. Ownership is not transferred, waived, or relinquished unless explicitly negotiated and documented in a separate written agreement signed by Virginia A. Wimmer.

Scope of Services

All consulting engagements are governed by a mutually agreed Statement of Work (SOW), proposal, or engagement letter that outlines the specific services, deliverables, timeline, and format of the work. Services may be delivered in-person, virtually, or in a hybrid format as agreed. V.A. Wimmer Consulting reserves the right to modify the scope of work in writing if material changes to the project arise during delivery.

Engagements may include, but are not limited to, executive coaching, leadership workshops, workforce wellness programs, strategic planning facilitation, organizational assessments, keynote presentations, and written resources. Any services outside the agreed scope will require a separate agreement and may incur additional fees.

Payment Terms

Payment terms are outlined in the client's proposal or engagement letter. For consulting engagements, a deposit of 50% of the total project fee is typically required to secure services, with the remaining balance due upon completion unless otherwise arranged in writing.

Invoices are due within 15 business days of receipt. Late payments beyond 30 days may be subject to a late fee of 1.5% per month on the outstanding balance. For resource purchases (guides, toolkits, and downloadable materials), payment is due in full at the time of purchase through our secure checkout.

V.A. Wimmer Consulting reserves the right to pause or suspend services on any engagement with an outstanding unpaid balance exceeding 30 days. All fees are non-refundable unless otherwise stated in the cancellation terms below.

Confidentiality

V.A. Wimmer Consulting treats all client information — including organizational data, personnel matters, strategic plans, internal communications, and any information shared during the engagement — as strictly confidential. We do not disclose, share, or use confidential client information for any purpose other than delivering the agreed services.

Clients are likewise asked to treat any proprietary frameworks, methodologies, curricula, or materials shared by V.A. Wimmer Consulting as confidential and not to share, reproduce, or distribute them outside the organization without prior written consent. This obligation survives the termination of the engagement.

Intellectual Property Ownership

All intellectual property created, developed, or delivered by V.A. Wimmer Consulting, LLC in connection with any engagement — including frameworks, curricula, guides, assessments, toolkits, presentations, written materials, training content, and methodologies — is and remains the sole and exclusive property of V.A. Wimmer Consulting, LLC, Virginia A. Wimmer, MSW, and/or their authorized assigns.

Clients are granted a limited, non-exclusive, non-transferable license to use deliverables within their organization for the purposes outlined in the engagement. Content and intellectual property may be cited, referenced, or shared in accordance with standard attribution practices — but ownership is not transferred, sublicensed, or relinquished in any form unless explicitly negotiated and documented in a separate written agreement signed by Virginia A. Wimmer.

Unauthorized reproduction, distribution, resale, modification, or commercial use of any materials produced by V.A. Wimmer Consulting, LLC without prior written permission constitutes infringement and may be subject to legal action. Cancellation & Refund Policy

Clients may cancel a consulting engagement by providing written notice to info@vawimmerconsulting.com. Cancellations made 14 or more business days before the scheduled start of an engagement are eligible for a full refund of any deposit paid, less a 10% administrative fee. Cancellations made fewer than 14 business days prior to the start date will forfeit the deposit.

For downloadable resource purchases (guides, toolkits, and PDFs), all sales are final. Refunds will not be issued once a digital product has been delivered or accessed. If you experience a technical issue with your purchase, please contact info@vawimmerconsulting.com and we will work to resolve it promptly. V.A. Wimmer Consulting reserves the right to cancel or reschedule an engagement due to unforeseen circumstances, in which case the client will receive a full refund of all deposits paid.

Limitation of Liability

V.A. Wimmer Consulting, LLC provides consulting services for informational, educational, and organizational development purposes. Nothing in our services constitutes licensed mental health treatment, legal advice, financial advice, or medical advice. Clients are responsible for the decisions they make based on the information, frameworks, and guidance provided through our engagements.

To the fullest extent permitted by applicable law, V.A. Wimmer Consulting, LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to the use of our services or materials. Our total liability for any claim arising from a consulting engagement shall not exceed the total fees paid by the client for that specific engagement.

Governing Law

These Terms of Engagement are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these terms or any consulting engagement with V.A. Wimmer Consulting, LLC shall be subject to the exclusive jurisdiction of the state and federal courts located in Solano County, California. Both parties agree to attempt to resolve any dispute in good faith through direct negotiation before initiating formal legal proceedings.
